Memoirita reserves the right to amend, update, or modify these Terms at any time and without prior notice. Any amendments will take effect immediately upon publication on our website. Your continued use of our website following the publication of any such amendments constitutes your unconditional acceptance of the revised Terms. 2. ELIGIBILITY & USE OF WEBSITE

Memoirita reserves the right to refuse service to any individual who does not meet these requirements.

No content from our website may be copied, reproduced, republished, uploaded, posted, transmitted, modified, adapted, translated, distributed, or used in any form or by any means — whether in whole or in part — without the prior express written authorisation of Memoirita.

To the extent that any user submits, posts, or otherwise provides any content in connection with our website or social media platforms, the user grants Memoirita a non-exclusive, royalty-free, worldwide, perpetual licence to use, reproduce, modify, and publish such content for any purpose related to our business, without compensation or further consent.

4. PRODUCTS & PRICING

4.1 Product Descriptions

Memoirita endeavours to ensure that all product descriptions, images, and specifications displayed on our website are accurate and up to date. However, we do not warrant that product descriptions or other content are entirely free from error. In the event of any inaccuracy, Memoirita reserves the right to correct such errors and, where applicable, to cancel any orders placed on the basis of incorrect information, with a full refund issued to the customer.

Colours and finishes of products as displayed on our website may vary slightly from the actual product due to differences in monitor calibration, screen resolution, and display settings. Such variations do not constitute a defect or grounds for a return or refund.

4.2 Pricing

All prices displayed on our website are subject to change without notice. Memoirita reserves the right to amend pricing at any time. The price applicable to your order will be the price displayed at the time of checkout and confirmed in your order confirmation email.

Prices displayed in Thai Baht (THB) apply to domestic orders. Prices displayed in United States Dollars (USD) apply to international orders. Memoirita is not responsible for any currency conversion fees or exchange rate fluctuations that may be applied by your bank or payment provider.

4.3 Availability

All products are offered subject to availability. Memoirita reserves the right to limit quantities, discontinue products, or decline orders at any time and without prior notice. In the event that an ordered item is unavailable, Memoirita will notify the customer and issue a full refund.

4.4 Pricing Disputes

The price applicable to any order is the price confirmed at the time of checkout and reflected in the official order confirmation email issued by Memoirita. Memoirita accepts no liability in respect of any pricing information displayed on third-party platforms, social media channels, screenshots, cached web pages, or any other source external to our official website. In the event of any discrepancy between a price displayed on a third-party source and the price displayed on our website at the time of checkout, the price displayed on our website shall prevail and be binding in all circumstances.

4.5 Gemstone & Natural Stone Disclaimer

All gemstones and natural stones used in Memoirita products — including but not limited to rose quartz, amethyst, citrine, clear quartz, and all other natural minerals — are genuine natural stones sourced directly from nature. As with all natural materials, each stone is entirely unique and one of a kind. No two stones are identical, and variations in colour, tone, saturation, clarity, transparency, lustre, surface texture, inclusions, internal growth patterns, colour zoning, and overall appearance are inherent characteristics of natural gemstones and are to be fully expected.

Product photographs displayed on our website represent the specific item photographed at the time of shooting under controlled lighting conditions. Due to the natural uniqueness of each stone, the actual gemstone in your piece may differ in appearance from the item depicted in product photographs, including but not limited to differences in colour depth, tone, brightness, and the distribution of inclusions or colour zoning within the stone. Such variations are not defects and do not constitute grounds for a return, exchange, refund, or warranty claim of any kind.

Additionally, the appearance of gemstones as displayed on our website may be further affected by factors including monitor calibration, screen brightness, colour profile settings, photographic lighting, and post-processing. Memoirita shall not be held liable for any perceived discrepancy between the appearance of a gemstone as displayed on our website and the appearance of the actual stone received.

By placing an order, the customer acknowledges and accepts that natural variation in gemstone appearance is an intrinsic and celebrated characteristic of natural stone jewellery, and that such variation is expressly not covered under any return, exchange, refund, or warranty policy maintained by Memoirita.

4.6 Disclosure of Gemstone Origin

Memoirita is committed to full transparency regarding the origin and nature of all gemstones and stones used in our products. Each product listing will clearly indicate whether the gemstone or stone used is of natural origin, laboratory-created, or a combination of both, as follows:

Natural gemstones — Stones formed naturally within the earth, including but not limited to natural rose quartz, natural amethyst, natural citrine, and natural clear quartz. Natural stones are subject to the inherent variations described above.
Laboratory-created gemstones — Stones produced through controlled scientific processes to replicate the chemical, physical, and optical properties of their natural counterparts, including but not limited to laboratory-created diamonds, cubic zirconia (CZ), moissanite, laboratory-created sapphires, rubies, emeralds, and other laboratory-created minerals. Laboratory-created stones share the same fundamental composition as natural stones but are produced under controlled conditions, resulting in greater consistency in colour, clarity, and appearance.
Combination — Certain pieces may incorporate both natural and laboratory-created stones, which will be disclosed individually within the relevant product listing.

The gemstone origin and nature of each product is disclosed in full within the individual product description on our website and across all official Memoirita communication channels. Customers are encouraged to review product descriptions carefully prior to placing an order. In the event of any enquiry regarding the composition of a specific product, customers may contact us directly at memoirita.official@gmail.com for clarification prior to purchase.

Memoirita shall not be held liable for any misunderstanding arising from a customer's failure to review the product description and gemstone disclosure prior to completing a purchase.

5. ORDERS & PAYMENT

5.1 Order Confirmation

Placement of an order on our website constitutes an offer to purchase. An order is not confirmed until the customer receives a written order confirmation from Memoirita via email. Memoirita reserves the right to decline or cancel any order at our sole discretion, including but not limited to cases involving suspected fraud, payment failure, pricing errors, or stock unavailability.

5.2 Payment

Full payment is required at the time of placing an order. We accept payment via the methods made available at checkout. All transactions are processed through secure, encrypted payment gateways in accordance with applicable security standards.

5.3 Order Cancellation

Once an order has been confirmed and payment received, cancellations are not guaranteed. Customers wishing to cancel an order must contact us immediately at memoirita.official@gmail.com. Memoirita will endeavour to accommodate cancellation requests where the order has not yet been processed or dispatched, but reserves the right to decline cancellation requests at our sole discretion.

5.4 Order Modification

Once an order has been confirmed and payment has been received, no modifications to the order will be accepted, including but not limited to changes to the product selected, quantity, size, colour, or delivery address. Customers who wish to amend any order details must contact us immediately at memoirita.official@gmail.com. Memoirita will endeavour to accommodate modification requests solely where the order has not yet entered processing or dispatch, but reserves the right to decline such requests at our sole discretion.

6. TAXES, DUTIES & CUSTOMS

Prices displayed on our website do not include import duties, taxes, tariffs, customs fees, or any other governmental charges applicable in the customer's country of destination. Such charges are the sole responsibility of the customer and are outside Memoirita's control.

Customers are solely responsible for complying with all applicable laws and regulations governing the importation of goods in their country of residence or delivery destination. Memoirita accepts no liability for any costs, delays, losses, or consequences arising from customs procedures, import restrictions, or the customer's failure to pay applicable duties or taxes.

7. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Memoirita, its directors, employees, agents, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages of any kind arising out of or in connection with:

Any errors, inaccuracies, or omissions in our website content
Any unauthorised access to or use of our servers or any personal data stored therein
Any interruption or cessation of transmission to or from our website
Any loss or damage to goods occurring after dispatch

Memoirita's total liability to any customer in respect of any claim arising out of or in connection with a purchase shall in no event exceed the total amount paid by the customer for the relevant order.

8. DISCLAIMER OF WARRANTIES

Our website and all content, products, and services provided through it are offered on an "as is" and "as available" basis, without any warranty of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by applicable law.

Memoirita does not warrant that our website will be uninterrupted, error-free, or free from viruses or other harmful components.

9. FORCE MAJEURE

Memoirita shall not be held liable for any failure or delay in the performance of our obligations under these Terms where such failure or delay arises from any cause beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, governmental actions or restrictions, war, terrorism, civil unrest, strikes, labour disputes, fire, flood, or failure of third-party infrastructure or services. In such circumstances, our obligations shall be suspended for the duration of the event, and we will endeavour to notify affected customers as soon as reasonably practicable.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Memoirita and its directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with your use of our website, your breach of these Terms, or your violation of any applicable law or the rights of any third party.

11. DISPUTE RESOLUTION

In the event of any dispute, claim, or controversy arising out of or in connection with these Terms or your use of our website, both parties agree to first attempt to resolve the matter through good faith negotiation. The customer must contact Memoirita at memoirita.official@gmail.com and allow a reasonable period of no less than 30 calendar days for resolution prior to initiating any formal legal proceedings. Memoirita reserves the right to propose mediation as an alternative means of resolution before any dispute is referred to the courts.

12. GOVERNING LAW & JURISDICTION

These Terms and any dispute or claim arising out of or in connection with them — including non-contractual disputes or claims — shall be governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes shall be subject to the exclusive jurisdiction of the competent courts of Thailand, without prejudice to any mandatory consumer protection rights applicable in the customer's country of residence.

13. SEVERABILITY

If any provision of these Terms is found to be unlawful, void, or unenforceable for any reason, that provision shall be deemed severed from these Terms and shall not affect the validity and enforceability of the remaining provisions, which shall continue in full force and effect.

14. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, Shipping & Delivery Policy, and Returns, Exchanges & Warranty Policy, constitute the entire agreement between you and Memoirita with respect to your use of our website and the purchase of our products, and supersede all prior agreements, representations, and understandings of any kind.
